1. Parties
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Skawa Innovation Kft. (also operating as Skawa Innovation Ltd.), a company registered in Hungary under court registration number Cg.01-09-907962, with registered office at H-1093 Budapest, Gálya utca 6., tax number 14528114-2-43 ("Skawa", "we", "us", "our"), regarding your access to and use of the mnrv.ai platform and its related services (collectively, the "Service").
2. Description of the service
mnrv.ai is an AI-powered productivity and assistant platform designed for business owners. The Service may include, without limitation, calendar management, task tracking, communication assistance, decision support, and related features accessible via web and mobile applications.
The Service is currently provided in an early access phase. Features, functionality, and availability may change without prior notice during this phase.
3. Eligibility & account registration
To use the Service you must:
- be at least 18 years of age;
- have the legal capacity to enter into a binding contract;
- provide accurate, complete, and current registration information; and
- maintain the security of your account credentials.
You are responsible for all activity that occurs under your account. Notify us immediately at info@mnrv.ai if you suspect any unauthorised use.
4. Acceptable use
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- reverse-engineer, decompile, or disassemble any part of the Service;
- use the Service to transmit spam, malware, or any harmful content;
- attempt to gain unauthorised access to any systems or networks associated with the Service;
- resell, sublicense, or commercially exploit the Service without our written consent;
- use automated means (scrapers, bots, etc.) to access the Service unless expressly permitted by us.
5. Intellectual property
All intellectual property rights in the Service — including software, trademarks, design, documentation, and AI models — are owned by or licensed to Skawa. Nothing in these Terms transfers any such rights to you. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your personal or internal business purposes.
You retain ownership of any data or content you submit to the Service ("User Content"). By submitting User Content you grant Skawa a limited licence to process it solely to deliver and improve the Service, subject to our Privacy Policy.
6. Subscription, fees, and early access
During the early access phase the Service may be provided free of charge or under a separate invitation. Future pricing will be communicated in advance. Skawa reserves the right to introduce paid tiers at any time with reasonable notice to existing users.
7. Service availability & changes
We aim to provide reliable access to the Service, but we do not guarantee uninterrupted availability. Skawa may modify, suspend, or discontinue any part of the Service at any time. We will endeavour to provide advance notice for material changes.
8. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
AI-generated suggestions, drafts, and recommendations are provided for informational purposes only. You remain solely responsible for any decisions or actions you take based on them.
9. Limitation of liability
To the maximum extent permitted by applicable law, Skawa and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
In any case, Skawa's total aggregate liability to you shall not exceed the amount paid by you to Skawa in the twelve (12) months preceding the event giving rise to the claim, or EUR 100, whichever is greater.
10. Indemnification
You agree to indemnify and hold Skawa harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Service.
11. Third-party services
The Service may integrate with or link to third-party services (e.g. calendar providers, email providers). Your use of such services is governed by their respective terms. Skawa is not responsible for the content or practices of third-party services.
12. Termination
You may stop using the Service and request account deletion at any time by contacting info@mnrv.ai. Skawa may suspend or terminate your access with reasonable notice for breach of these Terms, or without notice in cases of serious or repeated violations.
13. Governing law & dispute resolution
These Terms are governed by the laws of Hungary. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Budapest, Hungary, unless mandatory consumer protection laws in your country of residence provide otherwise.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service. Continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
